Introduction and Agreement to Terms
These Terms of Service govern your access to and use of clickin.in and the digital services, products, project services, communications, and other offerings provided by Clickin ("Clickin", "we", "us", or "our").
By accessing our website, submitting an enquiry, requesting a quotation, placing an order, making a payment, approving a proposal, or authorising us to begin work, you agree to these Terms together with any applicable quotation, proposal, invoice, service-specific terms, and policies referenced by us.
If you do not agree with these Terms, you should not use our website or purchase or engage our services.
Eligibility and Authority
Our services are intended primarily for individuals and businesses capable of entering into legally binding arrangements under applicable law.
If you engage Clickin on behalf of a company, organisation, or another entity, you confirm that you have the authority to act for and bind that entity to the applicable agreement.
You are responsible for ensuring that your use of our services and the materials you provide to us comply with applicable laws and third-party rights.
Our Services
Clickin provides digital and technology services that may include website design and development, landing pages, WordPress development, PHP development, SEO, local SEO, digital marketing, advertising, Google Ads, social media marketing, graphic design, branding, business stationery, technical services, maintenance, and related digital solutions.
Service scope, deliverables, timelines, revisions, dependencies, pricing, payment milestones, and other project-specific conditions may be defined separately in a quotation, proposal, invoice, order, service agreement, or written communication accepted by the client.
Not every service is available in every package. The applicable scope is the scope communicated and accepted for the particular order or project.
Project Agreements and Scope
A project begins when the applicable commercial terms have been accepted and the required payment or other agreed commencement condition has been satisfied.
Work is performed according to the agreed scope. Requests outside that scope, including additional pages, features, integrations, content, campaigns, revisions, redesigns, or other additional work, may require a separate quotation and additional payment.
Where project-specific written terms conflict with a general statement on this website, the specific terms accepted for that project may govern the relevant matter.
Client Responsibilities
Clients are responsible for providing accurate business information, required content, images, logos, approvals, access credentials where necessary, advertising information, technical access, and other materials reasonably required to perform the agreed service.
Clients must review work, provide feedback, and provide approvals within a reasonable or agreed timeframe. Delays caused by missing information, delayed feedback, unavailable access, or non-payment may affect the project timeline.
You must have the necessary rights, licences, permissions, and authority to provide any content, trademark, image, document, data, or other material supplied to us.
Acceptable Use
You must use our website and services only for lawful purposes and in a manner that does not harm Clickin, our systems, our service providers, other users, or third parties.
You must not:
- Use our website or services for unlawful, fraudulent, deceptive, or abusive activity.
- Attempt to gain unauthorised access to our website, servers, systems, accounts, or security controls.
- Upload or provide content that infringes third-party rights or is unlawful under applicable law.
- Interfere with, overload, disrupt, or damage our infrastructure or services.
- Use automated scraping, bots, or similar methods to extract protected or non-public information without permission.
- Misuse our name, branding, website, services, deliverables, or communications in a misleading manner.
Payments and Billing
Prices, taxes, payment schedules, subscriptions, packages, offers, and other commercial terms will be communicated at the time of purchase or engagement.
Unless different terms are agreed in writing, project work generally follows the payment structure stated in our Refund & Cancellation Policy, including the applicable advance and final payment requirements.
Payment methods may include UPI, cards, net banking, bank transfer, payment gateways, or other methods made available by Clickin.
Where applicable, invoices and tax information will be issued in accordance with the commercial arrangement and applicable tax requirements.
Subscription or recurring services may be billed according to the agreed billing cycle. Failure to make a required payment may result in suspension, withholding of deliverables, or termination in accordance with the applicable agreement.
Refunds and Cancellations
Refunds and cancellations are governed primarily by our Refund & Cancellation Policy and any specific terms accepted for the relevant service.
Because many Clickin services are customised and work may begin after payment, cancellation or refund rights may depend on the stage of work, payment status, delivery status, applicable project terms, and applicable law.
Nothing in these Terms is intended to exclude or restrict a legal right or remedy that cannot lawfully be excluded.
Project Delivery, Revisions and Acceptance
Deliverables are provided according to the agreed project scope and delivery method. Where final payment is required before handover, final files, credentials, deployment, transfer, or other deliverables may be withheld until the outstanding amount is received.
Revisions are limited to the revision terms agreed for the specific project or service. Requests that materially change the approved scope may be treated as additional work.
Clients are responsible for reviewing deliverables and communicating any material issue or scope discrepancy within a reasonable period after delivery.
Client Delay and Project Inactivity
A project may be placed on hold where required information, approval, access, payment, or other client cooperation is unavailable.
If a client remains meaningfully unresponsive for an extended period, including 14 consecutive days where that period is applicable under the project terms, Clickin may treat the project as inactive and may suspend, close, or terminate the active project or order after reasonable notice.
Reopening an inactive project may require a revised timeline, updated scope, new quotation, additional charges, or renewed availability.
Intellectual Property
Clickin retains rights in its pre-existing materials, proprietary processes, reusable components, frameworks, systems, templates, know-how, internal tools, and other materials that are not created exclusively for a particular client.
Client-provided logos, photographs, documents, trademarks, text, and other materials remain the property of the client or their respective rights holders. The client grants us permission to use such materials solely as reasonably necessary to provide the agreed services.
Ownership or usage rights in custom client deliverables are subject to the payment and intellectual-property terms agreed for the relevant project. Third-party software, fonts, plugins, APIs, libraries, stock assets, and other licensed materials remain subject to their respective licences.
Unless separately agreed otherwise, drafts, unused concepts, internal development materials, proprietary systems, and internal working files do not automatically form part of the final client deliverables.
SEO, Advertising and Marketing Services
SEO, local SEO, content, advertising, social media, and digital marketing services involve external platforms, algorithms, competition, budgets, market conditions, and other factors outside our direct control.
We do not guarantee a particular search ranking, traffic level, lead volume, advertising result, conversion rate, revenue figure, account approval, or business outcome unless a specific written agreement expressly provides otherwise.
Advertising budgets, third-party platform charges, media costs, domain costs, hosting charges, paid software, and other external costs are separate where stated in the applicable proposal or invoice.
Third-Party Services and Platforms
Our services may depend on third-party providers including hosting companies, domain registrars, payment processors, advertising platforms, search engines, social networks, APIs, software providers, analytics platforms, and other external services.
Third-party services operate under their own terms, policies, pricing, availability, technical limitations, and changes. Clickin is not responsible for matters exclusively controlled by those third parties.
Where a third-party service is required for a project, the client may be responsible for maintaining the relevant account, subscription, licence, or payment unless otherwise agreed.
Website Availability and Technical Limitations
We make reasonable efforts to keep our website and services available, functional, and secure. However, uninterrupted availability cannot be guaranteed.
Service interruptions may occur because of maintenance, hosting or infrastructure issues, internet failures, third-party outages, software changes, security incidents, technical faults, or circumstances beyond our reasonable control.
We may update, improve, suspend, or discontinue parts of the website or a service when reasonably necessary for business, technical, security, or operational reasons.
Privacy and Cookies
Personal information collected through Clickin is handled according to our Privacy Policy and applicable privacy requirements.
Our website may use cookies and similar technologies for essential functionality, preferences, security, analytics, performance, or other purposes described in our Cookies Policy.
Where a separate policy applies to a particular type of information or technology, that policy should be read together with these Terms.
Electronic Communications
You agree that Clickin may communicate with you electronically regarding enquiries, quotations, projects, invoices, payments, delivery, support, account matters, service updates, and other transactional or service-related matters.
Communications may be sent by email, telephone, SMS, WhatsApp, client portal, website notifications, or another contact method you have provided or agreed to use.
You are responsible for keeping your contact information accurate and for checking relevant communications connected with your project or order.
Portfolio and Promotional Use
Unless a client has specifically requested confidentiality or the project terms state otherwise, Clickin may identify completed work as part of its portfolio, case studies, website, presentations, or business marketing.
We will not knowingly represent client-owned confidential information as our own. Any separate confidentiality or non-disclosure arrangement will apply according to its agreed terms.
Disclaimer of Warranties
To the extent permitted by applicable law, the website and general information provided by Clickin are made available on an "as available" basis.
We do not warrant that every website feature, third-party integration, external platform, or service will always be uninterrupted, error-free, or available without technical limitations.
Service-specific commitments, warranties, corrections, or support obligations will be determined by the applicable project or service agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, Clickin Labs will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.
This may include losses relating to business interruption, lost revenue, lost profits, loss of opportunity, third-party platform failure, or circumstances outside our reasonable control.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited under applicable law.
Where a contractual limitation of liability is applicable to a specific project, the agreed project terms will determine the applicable limitation to the extent permitted by law.
Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Clickin and its personnel and service providers harmless from claims, losses, liabilities, and reasonable expenses arising from your unlawful use of our services, your breach of these Terms, or your infringement of third-party rights.
This includes claims connected with materials supplied by you where you did not have the necessary rights or permissions to use those materials.
Force Majeure
Clickin will not be responsible for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, major infrastructure failures, widespread internet or hosting outages, government actions, regulatory changes, war, civil unrest, epidemics, or other comparable events.
Where reasonably possible, we will communicate material delays caused by such circumstances and resume performance when the relevant conditions permit.
Suspension and Termination
We may suspend or terminate a service or project where reasonably necessary because of non-payment, material breach of these Terms, unlawful activity, security concerns, abuse, or other circumstances permitted under the applicable agreement or law.
A project or service may also be closed when the agreed service period ends or when the applicable project terms provide for termination.
Termination does not automatically cancel amounts already due, intellectual-property obligations, confidentiality obligations, or other provisions that by their nature are intended to continue after termination.
Governing Law and Dispute Resolution
These Terms are governed by the applicable laws of India.
If a dispute arises, the parties should first attempt to resolve the matter through direct communication with Clickin Labs.
Subject to applicable law and any project-specific agreement, disputes may be brought before a competent court having jurisdiction in Mumbai, Maharashtra, India.
Nothing in this section is intended to remove any mandatory legal remedy or jurisdiction that cannot lawfully be excluded.
Changes to These Terms
Clickin may update these Terms when necessary to reflect changes to our services, business practices, technology, payment processes, or applicable legal requirements.
The updated version will be published on this page with a revised update date. For an existing project, separately accepted project terms may continue to govern that project where applicable.
Continued use of the website or services after an update means that the updated Terms apply to future use to the extent permitted by applicable law.
